Moorcrofts LLP advises on restructuring of RAW Global group of companies
Leading Thames Valley Corporate Law Firm, Moorcrofts has advised RAW Global Limited on a corporate restructuring.
RAW is a leading specialist provider of response and remediation services for inland oil spills, operating across the world from its total of 18 offices in the UK and Ireland (including its Sandhurst head office).
The restructuring (which included a share reclassification, a dividend in specie, a reduction of capital and a new shareholder’s agreement) has resulted in directors John Stainton and Neil Stothert acquiring control of RAW Global from Jeremy Randall and Stephanie Randall, with Jeremy and Stephanie in turn acquiring from RAW Global its wholly-owned subsidiary, RAW Connect Limited. RAW Global will now refocus on its core markets in the UK and Ireland, while RAW Connect has assumed responsibility for RAW Global’s former business interests in China.
The restructuring also involved a restructuring of term loan facilities provided by Santander UK plc and a new invoice finance facility from ABN Amro.
Peter Woolley (corporate partner) led the transaction, with support from Matt Jenkin (employment partner), Tim Astley (technology and IP senior associate) and Georgia Slater (corporate paralegal).
