How it started

Our client, a full-service international print, motion and event production company with offices in the UK, USA, France, and Italy, approached Moorcrofts for assistance with an international reorganisation of their business. They were preparing for a partial exit or management buyout, which involved navigating complex legal and tax matters across multiple jurisdictions.

What we did

Moorcrofts advised the company on the practical and legal implications of moving assets and shares between countries, preparing the necessary transfer documentation and a suite of ancillary documents. We also conducted a thorough review and update of the terms and conditions for each business entity. Given the nature of the client’s industry, where production contracts often involve substantial financial outlays, we implemented robust measures and terms regarding recovery and debt collection.

How it helped our client

By providing expert advice across multiple jurisdictions and ensuring compliance with both legal and tax regulations, Moorcrofts helped the client successfully navigate the complexities of their business reorganisation. The company was well-prepared for a future sale or buyout, with updated contracts and strong protections in place to safeguard their financial interests.
