Moorcrofts LLP advises on PCB sale
Moorcrofts recently advised the vendor shareholders of PCB Technical Solutions Limited on the sale of the company to Sescom, the Polish retail-focussed technical facilities management (TFM) provider.
PCB provides technical maintenance for retail, commercial and industrial facilities, as well as installation of HVAC and smoke control systems, predominantly for the retail industry, electronics manufacturers, as well as food producers, public institutions and main contractors.
Peter Woolley (corporate partner) led the transaction, with support from Nouara Mokrane (corporate trainee solicitor), Heather Stewart (corporate solicitor), Sharan Uppal (commercial property solicitor), Lindsey Abbott (employment associate) and Usha Guness (technology associate).
Dave Cooper, PCB managing director, said:
“The PCB team has steadily grown to become one of the leading UK specialists in retail and commercial technical facilities management, providing our clients with a reliable partner to install and maintain their facilities. We’re really pleased to find a like-minded partner in Sescom, who will support us in our next phase of growth. Thanks to the Moorcrofts team, who did an excellent job on this transaction. They were brilliant throughout, and a pleasure to work with.”
Peter Woolley commented:
“Moorcrofts was delighted to advise PCB’s shareholders on this transaction in the TFM sector. This deal should enable the combined group to strengthen its offering in the UK, resulting in significant international growth for PCB as part of the wider Sescom group. This was an interesting and rewarding transaction, and I expect our clients to play a key role in helping with PCB’s integration into Sescom’s wider group, while also assisting PCB to offer new solutions to its clients. Congratulations to the vendor shareholders and Sescom.”
Other professional advisers on the transaction included GESSEL Attorneys at Law (Poland) and Ali Legal Ltd (legal advisors to Sescom); Quantuma (corporate finance advisors to PCB) and Azets (financial due diligence).
