Moorcrofts has advised the shareholders of Graph Aware Limited, a specialist in graph-based software engineering and data intelligence solutions, on the sale of the entire issued share capital to Neo4j, Inc., to a leading global graph-technology company, based out of the US.

The acquisition forms part of Neo4j’s strategic expansion within the global data intelligence and graph technology market, with the aim to accelerate the development of open, interoperable alternatives to proprietary “black-box” intelligence platforms, strengthening a shared focus on transparency, data sovereignty and open standards.

Together, the companies aim to deliver a next-generation intelligence analysis solution built on open standards, interoperability and data sovereignty, enabling organisations to retain full control over their data and systems. GraphAware’s flagship Hume platform, built on the Neo4j Graph Intelligence Platform, is already used in mission-critical environments by government agencies including the European Commission, the Western Australia Police, and organisations across the U.S., U.K., EU and Australia. The combined offering will enhance integration between data and analysis layers, improve performance at scale, and expand capabilities for secure, sovereign deployments across cloud and on-premises environments. GraphAware will operate as a standalone business unit within Neo4j, continuing its existing customer relationships while benefiting from increased resources and a unified support model, with both companies positioning the move as a step toward a more open, AI-enabled future for intelligence analysis.

Teri Hunter, Corporate Partner at Moorcrofts, led the advisory team, with support from Heather Stewart (Corporate Associate), Ash Sangha (Corporate Trainee), Georgia Knibb (Corporate Senior Associate), Usha Guness (Commercial & Tech Partner), Lindsey Abbott (Employment Partner), Nazia Malik (Employment Solicitor) and Sharan Uppal (Property Associate).

Teri Hunter said:

“Moorcrofts was delighted to advise the shareholders of GraphAware on this strategically important cross-border transaction. It was a complex deal involving multiple jurisdictions and input from all practice areas across the firm, and we are pleased to have supported our clients through to a successful outcome.“

Michal Bachman, CEO at GraphAware, said:

“This acquisition marks a significant milestone for GraphAware and the team. I am incredibly grateful to the Moorcrofts team for the hard work and commitment in getting us to this point. It is a testament to the team’s dedication that we have successfully completed this stage. We are excited about the next chapter with Neo4j and the opportunities it will bring for our customers and our platform.”

Other professional advisers on the deal included Latham & Watkins (buyer’s legal counsel), Parisi Tax (tax counsel to the sellers), and Sklar Kirsh (US counsel to the sellers).
