Moorcrofts recently advised on the sale of Electracom Projects (UK) Ltd and Electracom Services (UK) Ltd (together “Electracom”) to Sauter Ag (“Sauter”), one of the leading brands in the building automation sector.

Electracom provides world-class Smart building services that deliver better working environments, improved energy efficiency and reduced operating costs. Boasting an impressive portfolio of prime contractors and leading real estate companies, Electracom has designed integrated building management systems for some of the London’s most prominent projects, including the 8 Bishopsgate, The Shard, London Olympic Stadium, and Bond Street Station.  This strategic acquisition enhances Electracom’s capabilities and aligns with its vision for sustainable growth and innovation in the sector.

Moorcrofts’ corporate partners Teri Hunter and William Pearce led the transaction with support from Heather Stewart (corporate associate solicitor), Nouara Mokrane (corporate solicitor), Ash Sangha (corporate paralegal), Sharan Uppal (property associate solicitor), Timothy Astley (commercial partner), and Lindsey Abbott (employment partner).

Speaking about the acquisition Teri Hunter, corporate partner, said:

“We are thrilled to have advised on the sale of such a well-established business. This was an interesting and rewarding transaction, I’m certain that the addition of Sauter’s support and infrastructure will allow Electracom to further capitalise on the rapidly growing sector in which it operates.  It was a pleasure to work with the Electracom team and we wish the business continued success in the future.”

Kerry Overman, Electracom Managing Director, said:

“We have used Moorcrofts over many years and they have always provided robust but sensitive advice to us. This was a very important deal for the business and shareholders alike and Teri provided balanced advice from all points of view to ensure we secured the best deal possible that benefited all stake holders. With their support, we could carry on with the day to day business tasks knowing the legal process was being managed with short timescales to be met. We thank them and the wider team for their guidance during an important milestone in professional and personal lives.”

Other professional advisers on the transaction included Mat Faraday (business advisor), Saffery LLP (accountants and tax advisors for Electracom), Bluebox Corporate Finance Limited (Corporate Finance advisors for Electracom) and KL Gates LLP (legal advisors for Sauter).
