Moorcrofts advises on sale of EveryCloud

Law firm Moorcrofts LLP has advised the shareholders of EveryCloud Antispam Limited, a leading provider of cyber security and email monitoring products and services, on the company’s sale to its German distribution partner, Hornetsecurity.

Graham O’Reilly and Matt Baker founded Raxton Data Limited in 2009, with the goal of taking the best technology to market along with exceptional service. In 2013, the company rebranded as EveryCloud, and it also launched in the USA and Australia.

Hornetsecurity has been focusing on cloud computing since 2007 when the company was founded in Hanover by Oliver Dehning and Daniel Hofmann under the name antispameurope. Since 2009, EveryCloud has served as Hornetsecurity’s local representative in the UK and US, and gained a significant market share in the email security segment. Under the new arrangement, EveryCloud’s 9,000 customers and over 400 resellers worldwide will also have access to Hornetsecurity’s services.

EveryCloud’s team will remain in place and CEO Graham O’Reilly will take over new responsibilities for the US and UK markets within the Hornetsecurity group.

Graham O’Reilly, stated:

“EveryCloud has been a reseller of Hornetsecurity’s software since 2009, and we are now very excited to have become part of Hornetsecurity’s group.  Joining forces means we can aim higher than ever in our markets by leveraging Hornetsecurity’s resources and scale, plus get even closer to the product offering”.

Moorcrofts’ corporate partner Peter Woolley led the deal, with corporate support from corporate consultant solicitor Barry Maytum and trainee solicitor Heather Stewart. Commercial / technology support was provided by partner Tim Astley, and employment support was provided by solicitor Lindsey Abbott.

Peter Woolley said:

EveryCloud CEO, Graham O’Reilly, commented on Moorcrofts: “Peter Woolley and the rest of the Moorcrofts’ team worked closely with us throughout the process and provided first class support and prompt and commercial advice. They were also instrumental in ensuring that the deal completed by the end of 2019, being the strict deadline which had been set by both parties.”

PricewaterhouseCoopers LLP advised Hornetsecurity on UK legal aspects of the transaction.
